These Terms & Conditions ("Terms") govern your use of the CabZen platform, website, and mobile applications (collectively, the "Service"), operated by NYXANO LTD, registered in Scotland ("we", "us", "our", or "CabZen"). By creating an account, subscribing to the Service, or using the CabZen Driver mobile application, you agree to be bound by these Terms.
1. Definitions
- "Operator" means a business or individual who subscribes to the CabZen platform to manage bookings, drivers, and operations.
- "Driver" means an individual added to the platform by an Operator who uses the CabZen Driver mobile application.
- "Customer" means a passenger who makes a booking through an Operator's CabZen-powered booking page.
- "Platform" means the CabZen web-based dashboard, booking system, dispatch tools, CMS, and all associated features.
- "Driver App" means the CabZen Driver iOS and Android mobile application.
- "Branded App" means a custom-branded iOS and/or Android application built for an Operator under a one-off fee arrangement.
- "Subscription" means a recurring monthly payment giving an Operator access to the Platform under the selected plan.
- "Add-on" means an optional additional service purchased alongside a Subscription, such as extra driver seats, extra platforms, or email credits.
2. Eligibility & Account Registration
You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or your business. By registering, you confirm that all information you provide is accurate and that you will keep it up to date. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
3. The Service
3.1 Platform Features
CabZen provides Operators with a multi-tenant SaaS platform that includes, depending on the selected plan:
- Online booking widget and booking management dashboard
- Live dispatch board with manual, auto-dispatch, and job auction allocation modes
- Driver management including profiles, shift tracking, availability scheduling, and compliance document storage
- Customer management and booking history
- Fixed-price and distance-based pricing configuration
- Vehicle type management
- Discount code creation and management
- Payment processing integration (Stripe, Square, or Mollie)
- Email and SMS booking notifications with customisable templates
- CMS website builder with custom domain support and embeddable booking widget
- Google Analytics and conversion tracking integration
- Multi-platform support (run multiple booking platforms under one account)
- CabZen Driver mobile app (iOS and Android) for drivers to receive and manage jobs
- Real-time driver location tracking during active shifts
- PWA (Progressive Web App) versions of the booking site
- Branded iOS and/or Android native apps (available as a paid one-off add-on)
3.2 Free Trial
New Operator accounts are eligible for a 7-day free trial on the Starter or Business plan. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service. Trial accounts that are not converted to a paid subscription will be suspended and may be deleted after 30 days.
3.3 Driver App
The CabZen Driver app is provided free of charge to Drivers employed or contracted by subscribing Operators. Drivers do not pay any subscription fees. The Driver App is intended solely for professional use by licensed taxi and private hire drivers. By using the Driver App, Drivers agree to these Terms and to the CabZen Privacy Policy.
3.4 Job Auction System
The CabZen Platform includes a job auction feature that allows Operators to send bookings to a timed auction where Drivers bid their preferred take-home price. Operators configure reserve prices, auction duration, and eligibility. CabZen acts solely as the facilitating technology; we are not a party to any employment or sub-contracting relationship between Operators and Drivers, and we do not set or guarantee the outcome of any auction.
3.5 Branded Apps
Branded iOS and Android apps are available as a one-off paid add-on. Once delivered, branded apps are owned by the Operator. NYXANO LTD is not responsible for App Store or Google Play review outcomes, ongoing store compliance, or future OS compatibility issues after delivery. Ongoing maintenance is available under a separate agreement. The Operator is responsible for maintaining their own Apple Developer and/or Google Play accounts.
4. Subscriptions, Billing & Payment
4.1 Plans & Pricing
CabZen offers monthly subscription plans. Current pricing is published at cabzen.app/pricing. Prices are in GBP and exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' written notice.
4.2 Add-ons
Operators may purchase add-ons including additional driver seats (charged per additional driver beyond the plan limit), additional platforms, email credit top-ups, and branded app builds. Add-on charges are added to the monthly subscription invoice where applicable.
4.3 Payment Processing
Subscription billing is handled by Mollie Payments. By subscribing, you authorise Mollie to charge your payment method on a recurring monthly basis. You must maintain a valid payment method on file. We are not responsible for failures caused by your payment provider.
4.4 Failed Payments
If a payment fails, we will retry and notify you by email. If the outstanding amount is not settled within 7 days, your account may be suspended. Access will be restored immediately upon successful payment. If an account remains suspended for more than 30 days, it may be terminated and data deleted in accordance with our retention policy.
4.5 No Refunds
Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription mid-month, your access will continue until the end of the current billing period. We do not provide pro-rated refunds for partial months.
5. Cancellation
Operators may cancel their subscription at any time from the billing section of their dashboard. Cancellation takes effect at the end of the current billing period. After cancellation, your account and data will be retained for 30 days to allow data export, after which it will be permanently deleted. To request early deletion, contact [email protected].
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation, including licensing requirements for taxi and private hire operators.
- Upload or transmit content that is unlawful, harmful, fraudulent, or abusive.
- Impersonate any person or entity or misrepresent your affiliation.
- Attempt to gain unauthorised access to any part of the Service or another user's account.
- Reverse engineer, decompile, or extract the source code of the Platform or Driver App.
- Use the Service to facilitate unlicensed or illegal transport operations.
- Resell or sublicense access to the Platform to third parties without prior written consent.
- Interfere with or disrupt the integrity or performance of the Service.
We reserve the right to suspend or terminate accounts that violate these provisions without notice or refund.
7. Data & Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. As an Operator, you are the data controller for personal data you collect from your customers and drivers. CabZen acts as a data processor on your behalf. You are responsible for ensuring you have the legal basis to collect and process that data, and for providing appropriate privacy notices to your customers and drivers.
You must not upload to the Platform any special category data (as defined by UK GDPR) beyond what is strictly necessary for driver compliance purposes (e.g. licence documents).
8. Intellectual Property
All intellectual property in the CabZen Platform, Driver App, and associated materials — including software, design, trademarks, and content — belongs to NYXANO LTD or our licensors. Nothing in these Terms transfers any ownership of intellectual property to you.
You retain ownership of all data you input into the Platform (your bookings, customer records, driver records, etc.). You grant NYXANO LTD a limited licence to process this data solely for the purpose of providing the Service.
You may not use the CabZen name, logo, or branding without our prior written consent, except where we provide explicit branding guidelines for co-marketing purposes.
9. Availability & Uptime
We aim to provide a reliable and available Service but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where possible. CabZen does not offer a formal Service Level Agreement (SLA) unless separately agreed in writing.
10. Limitation of Liability
To the maximum extent permitted by applicable law, NYXANO LTD shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of revenue, profit, data, or business opportunities.
- Failure of the Service due to third-party services (payment providers, SMS gateways, email providers, cloud infrastructure).
- Any act or omission of an Operator, Driver, or Customer.
- Any transport-related incident, accident, or dispute between Operators, Drivers, and Customers — CabZen is a software platform only and is not a transport operator.
Our total aggregate liability to you in any 12-month period shall not exceed the total subscription fees you have paid to us in that same period.
11. No Transport Operator Relationship
CabZen is a software platform only. NYXANO LTD is not a taxi operator, private hire operator, or transport provider. We do not employ Drivers, dispatch vehicles, or hold any licensing under the Transport Act 1985, Local Government (Miscellaneous Provisions) Act 1976, or any other transport licensing legislation. Operators are solely responsible for holding and maintaining all required transport licences, and for ensuring their Drivers are properly licensed and insured.
12. Third-Party Integrations
The Platform integrates with third-party services including Stripe, Square, Mollie (payments), Postmark (email), and Google (tracking and maps). Your use of these integrations is also subject to the respective third-party's terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party service.
13. Termination
We may suspend or terminate your account immediately and without notice if:
- You materially breach these Terms.
- You use the Service for unlawful purposes.
- You fail to pay outstanding subscription fees.
- We reasonably believe your account poses a security risk to the Platform or other users.
Upon termination, your access to the Service will cease and your data will be retained for 30 days before permanent deletion unless you request earlier deletion.
14. Changes to the Service or Terms
We may modify these Terms or the features of the Service at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not accept the changes, you may cancel your subscription before they take effect.
15. Governing Law
These Terms are governed by the laws of Scotland. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
